Terms of Agreement:

Please read the following terms of agreement. By providing contact and shipping information, you declare that you have read, understand, and agree to the terms of this Agreement.

Terms of Agreement (1)

The Participant represents a national restaurant (“Restaurant”) and has authorization to register the Restaurant to participate in the Tap Project March 22 through March 28, 2009 Fundraiser (“Fundraiser”) and to agree to the following terms on its behalf.

The Restaurant agrees to conduct the Fundraiser with high standards, professionalism, and good taste, and will do nothing to cause detriment to the reputation or goodwill of the U.S. Fund for UNICEF (“USF”) or to the name UNICEF.

USF provides this Tap Project Restaurant Activation Kit as a fundraising resource. All donations received through the Fundraiser are contributions for which no goods and services have been provided. Therefore, promotional material regarding the Fundraiser shall not contain any language which suggests that merchandise (other than tap water) will be provided in exchange for contributions. The Restaurant is expressly prohibited from offering merchandise sales, prizes, raffles, giveaways, lotteries, contests, tournaments, lucky draws, or any games of chance, either as an outright token gift or as an inducement to solicit donations, without prior, written approval from USF.

Terms of Agreement (2)

Contributions to USF from individual customers or donors which are collected or received by the Participant or the Restaurant (“Individual Contributions”) and/or any contributions the Restaurant wishes to make in connection with the Fundraiser (“Restaurant Contribution”) shall be paid to USF not later than thirty days after the Fundraiser via the Tap Project website (http://www.tapproject.org/).

Alternatively, the Individual Contributions and/or the Restaurant’s Contribution can be paid in United States dollars and sent to:

The Restaurant will not represent that USF is a producer, co-producer, sponsor, or presenter of the Fundraiser.

This Fundraiser does not create any partnership, agency, or joint venture relationship between the Restaurant and USF, and neither USF, the Restaurant, nor the Participant will make any representations to the contrary.

Copyright and Indemnities

The Restaurant may use any of the promotional material provided by the USF in the Tap Project Toolkit in connection with the Tap Project Fundraiser, but shall not create any additional materials using the Tap Project, USF or UNICEF name and/or logo.

Aside from the materials provided in the Tap Project Toolkit, the Restaurant shall have no right to use the logo and/or marks of USF or UNICEF without prior, written approval from USF.

USF reserves the right, in its sole discretion and at any time, to require that Restaurant terminate its Fundraiser or any other activities related to USF or UNICEF. In the event USF terminates a Restaurant’s Fundraiser prior to March 22, 2008, Restaurant shall return all unused Customer Donation Cards to USF.

As a participant in the Tap Project Fundraiser, Restaurant does hereby release and discharge USF, the Tap Project, their management, officers, board members, employees, members, sponsors, volunteers, representatives and their successors, and agrees to defend and indemnify them from all claims, damages, demands, actions, fines, penalties, fees and expenses of any kind whatsoever arising out of or in connection with the Fundraiser or as a result of or related to a breach of any contractual obligation of the Restaurant.

Restaurant shall not advertise any for-profit business, except the Restaurant itself, and shall not include any prohibited subject in any material related to or used in connection with the Fundraiser. Examples of prohibited subjects include, but not are limited to, support or opposition of a political party or a political candidate, any products inconsistent with the USF's mission, content of any nature which may result in fraud or misrepresentation to the public, pornographic or otherwise offensive sexual materials, racially or ethnically prejudicial materials, overtly religious materials or any other information that may be offensive to the general public.

Privacy Disclaimer

Neither the Participant nor the Restaurant’s information will be shared with third parties. Participant and/or the Restaurant may receive notices from USF, at which time, the Participant, individually and/or on behalf of the Restaurant, may opt out from receiving further notices.
